1. Validity
The trading conditions apply to all offers, sales, services and deliveries from Autosource Group Digital A/S (hereinafter “ASG-D”), which customers, users or dealers (hereinafter “the User”) may receive, including when using functionalities on www. en.asg-digital.dk or other portals, applications etc. made available by ASG-D.
Without ASG-D’s express written acceptance, no change or reservation, which is included in documents or otherwise presented by the User, is valid.
2. Offer
Unless otherwise expressly stated, ASG-D’s offer is only to be regarded as an invitation to make an offer, which is why the agreement is only concluded upon ASG-D’s written acceptance in the form of an order confirmation. The order confirmation, together with these conditions and the price list applicable at any time, is thus to be considered as the overall basis of the agreement between the parties.
Any documentation and other technical information left to the User must not be shown or left to third parties.
3. Price
All prices and subscription types appear in a separate price overview, on which all prices are in Danish kroner and stated excluding VAT and any state taxes as well as delivery costs to the User’s address.
ASG-D reserves the right to change subscription prices with 30 days notice.
Price increases that are due to changes in consumption charges, taxes or fees as well as changed price conditions with data suppliers can, however, be implemented without prior notice.
The user can terminate the subscription with a notice of the current month + 30 days. In the event of changes in consumption charges, taxes, levies and changed price conditions with data suppliers, no right of termination is given.
4. Payment
Payment must be made in accordance with agreed payment terms. Subscriptions are paid monthly in advance.
If the payment deadline is exceeded, ASG-D is entitled to interest on the amount due from the due date with a late payment interest of 2% per started month. Furthermore, ASG-D has the right to interrupt access to services as well as stop delivery to them if the payment deadline is exceeded. Services can be accessed when the amount owed has been paid as stated on the issued invoice.
Accrued interest is due for immediate payment and is paid ahead of all other debts by regular payments.
5. Communication
All communication between ASG-D and the User basically takes place electronically. Notifications etc. which is sent to the email address provided by the User, is considered to have reached the User upon dispatch. If the User gets a new email address during the contract period, this must be notified to ASG-D immediately.
6. Amendment right
ASG-D is entitled, without notice, to change both technical and physical specifications and functionalities of the delivered, including in relation to software.
7. Delivery
The start time of the subscription period is the time when the system access is activated for the first time, and the code and agreement are sent to the User via email.
The subscription is continuous, unless it is terminated beforehand by the User or by ASG-D in accordance with the relevant provisions of these conditions.
8. Termination and termination
The subscription agreement can be terminated by the user with notice of the current month + 30 days. Termination must be done in writing via e-mail. The subscription agreement can be terminated by ASG-D, cf. point 4. Payment.
If the user breaches his obligations under an agreement, the agreed terms or these conditions, ASG-D has the right to cancel the agreement. Cancellation can then take place if the user has not remedied the breach within a reasonable period notified by demand, or immediately in the event that the breach cannot be remedied or there is gross or repeated breach on the part of the user. The cancellation must be notified in writing.
Non-compliance which, in ASG-D’s assessment, may lead to termination of the agreement includes, for example, non-payment, the User’s retention of, or submission of incorrect,
information that is necessary for ASG-D to fulfill the subscription agreement.
9. Defects and complaints
The user must notify ASG-D in writing of any deficiencies in services received without undue delay after the deficiency has become apparent. The notice must contain a description and documentation of the defect in question. If the User does not notify ASG-D in writing without undue delay, the User loses his right to make a claim in connection with the deficiency. Any errors or malfunctions in the systems must be reported to ASG-D, after which ASG-D will take measures to remedy them.
10. Limitation of liability
By entering into the agreement, the user acknowledges to have been expressly informed of, and accepts, that the Tax Calculator solely provides an estimate of the registration tax based on a snapshot of the market supply for the requested vehicle type, optional equipment, etc. In any case, the user is responsible for verifying the estimate for relevant models and equipment levels in relation to the requested vehicle.
ASG-D is not responsible for any typographical or clerical errors in connection with the pricing and evaluations. Furthermore, the responsibility does not include matters resulting from the User’s erroneous or inappropriate use of the Tax Calculator, including user-defined changes made without ASG-D’s written consent.
In no event can the User make claims against ASG-D for reimbursement of any overestimated tax or similar.
ASG-D is not responsible for operational loss, lost profits, and other economic consequential losses to the User. Breakdowns in power supply, failures in subcontractors (including CPR, CVR, SKAT, the motor registry, etc.), or similar force majeure-like circumstances beyond ASG-D’s control shall, in any case, have suspensive and exculpatory effects on obligations towards the User.
11. Disputes
Any disputes shall be settled in accordance with Danish law and by the court in Odense in the first instance.
